VIP Services Addendum

Welcome to Gyzer VIP ("we," "our," or "us"). This Gyzer VIP Services Addendum ("VIP Addendum") applies if you choose to use Gyzer's white-glove VIP support service ("VIP Services"). VIP Services provide operational and administrative coordination and support only; they do not constitute financial, investment, payment, custody, or advisory services. This VIP Addendum supplements the Gyzer Terms & Conditions (the "Terms"). By activating VIP access (or otherwise using VIP Services), you agree to be legally bound by this VIP Addendum in addition to the Terms. If you do not agree, do not use VIP Services.

This VIP Addendum is between Gyzer Inc. (the "Company," "Gyzer," "we," "us," "our") and you ("you," "VIP User").

If there is any conflict between this VIP Addendum and the Terms, this VIP Addendum controls only for VIP Services. All other provisions of the Terms remain unchanged.

1. Introduction

VIP Services are a "white-glove" communications and operational support layer that may include:

a) setting up a dedicated communications channel for you and your Authorized Contact(s),

b) facilitating the transmission and confirmation of information you provide in connection with Transaction Requests,

c) coordinating transaction requests with one or more third-party providers, and

d) maintaining a structured record of communications and requests received through the VIP channels.

VIP Services are designed solely for convenience, communication, and administrative coordination. Gyzer does not provide financial, payment, exchange, brokerage, custody, or settlement services, does not control or handle client funds or assets, and does not execute or authorize any transactions. All transaction-related services are performed exclusively by the applicable Provider under your separate agreement with that Provider.

2. Definitions

For purposes of this VIP Addendum:

2.1 "Authorized Contact(s)" means any person you request Gyzer to include in the VIP WhatsApp Group (including you) for purposes of coordinating communications in connection with VIP Services.

2.2 "VIP WhatsApp Group" means the dedicated WhatsApp group created for you and your Authorized Contacts to communicate with Gyzer personnel regarding coordination and support related to VIP Services.

2.3 "Instruction" means any request or direction communicated via the VIP WhatsApp Group (or another agreed written channel) asking Gyzer to relay, submit, or coordinate a Transaction Request with a Provider. For avoidance of doubt, an Instruction does not constitute an order to Gyzer to execute, control, or provide any financial or payment service.

2.4 "Transaction Request" means a request to a Provider, communicated via Gyzer as an introducer and coordinator, to initiate, process, or perform an on-ramp, off-ramp, exchange, transfer, payout, or other transaction-related service.

2.5 "Provider(s)" means any third-party financial or digital asset service provider you choose to use in connection with VIP Services, including (as applicable) on-ramp or off-ramp providers, payment processors, exchanges, wallet or custody providers, banking or IBAN partners, liquidity providers, and their respective partners, affiliates, and subcontractors. You contract directly with each Provider for its services.

2.6 "VIP Authentication Channel" means one or more Gyzer-managed communication channels used solely to receive and forward authentication messages, codes, approval links, or prompts issued by a Provider in connection with Transaction Requests (such as a dedicated email address, phone number, or secure portal), as supported by the relevant Provider. Use of a VIP Authentication Channel does not give Gyzer control over accounts, funds, or transaction execution.

3. Providers

3.1 You may use one Provider or multiple Providers at the same time through Gyzer and VIP Services.

3.2 Each Provider operates under its own terms, approvals, processing rules, cut-offs, and compliance requirements. Whether any Transaction Request is accepted, processed, or completed depends solely on the applicable Provider.

3.3 Gyzer does not guarantee any Provider will:

a) onboard or approve you,

b) approve or process any Transaction Request,

c) offer or maintain any particular limits, pricing, speed, liquidity, or fees, or

d) continue to make any service available.

4. Authorized Contacts and Instruction Authority

4.1 Authority. By asking Gyzer to add any Authorized Contact to the VIP WhatsApp Group, you confirm that each Authorized Contact is authorized by you to submit Instructions and related Instructions for relay to Providers on your behalf.

4.2 Reliance. You agree that Gyzer may rely on Instructions received from the VIP WhatsApp Group as authorized. You acknowledge that Instructions received from Authorized Contacts may be treated as Instructions from you, and you remain responsible for actions taken based on those Instructions (subject to any additional verification Gyzer applies).

4.3 Your responsibility. You are responsible for:

a) selecting and supervising Authorized Contacts,

b) ensuring only trusted persons are included, and

c) promptly requesting removal of any Authorized Contact you no longer authorize.

4.4 Removal / change of contacts. You may request removal of any Authorized Contact at any time. Gyzer may require verification before actioning removal in higher-risk scenarios (for example, where there is a suspected compromise or dispute).

4.5 No agency or execution. The authority of Authorized Contacts is limited to communicating requests and information. Neither you nor any Authorized Contact grants Gyzer authority to enter into contracts, initiate payments, transfer assets, or execute transactions on your behalf. All transaction execution and account actions are performed solely by the relevant Provider.

5. Provider Authentication Delegation

5.1 Provider authentication. Some Providers require additional authentication to initiate or maintain a transaction session. This may include one-time passwords ("OTPs"), magic links, push approvals, passcodes, or similar security prompts delivered through email, SMS, authenticator apps, or other channels. Such authentication is issued and controlled solely by the relevant Provider and may expire or be revoked at any time.

5.2 VIP Authentication Channel. At your request, and solely to facilitate VIP Services, you authorize Gyzer to use a VIP Authentication Channel to receive Provider-issued authentication prompts, codes, links, or approvals related to your Transaction Requests.

5.3 Limited handling of authentication. You authorize Gyzer, acting only on Instructions from you or your Authorized Contacts, to access and relay Provider-issued authentication prompts received through the VIP Authentication Channel to the applicable Provider for the limited purpose of progressing the specific Transaction Request you instructed. Gyzer does not originate, modify, approve, or validate any authentication, and does not obtain independent access to your Provider accounts.

5.4 Credentials and binding effect. You acknowledge and agree that Provider authentication prompts, codes, links, and approvals are security credentials. You further acknowledge that Providers may treat activity performed using valid credentials as authorized and binding on you, even if later disputed. You remain responsible for the consequences of delegating authentication handling to Gyzer and for ensuring that only Authorized Contacts provide Instructions.

5.5 Provider-specific restrictions. You acknowledge that a Provider's terms and security requirements may prohibit or restrict credential sharing or delegation. If Gyzer reasonably determines that the VIP Authentication Channel workflow is inconsistent with a Provider's requirements, or if a Provider refuses to proceed, Gyzer may:

a) require an alternative verification method,

b) where supported, route authentication to your own email or phone or another channel,

c) pause processing pending clarification, or

d) suspend the VIP authentication workflow for that Provider (or for your account).

5.6 Security and compromise notice. You must notify Gyzer immediately if you suspect:

a) unauthorized Instructions,

b) compromise of the VIP WhatsApp Group,

c) compromise of your devices or accounts, or

d) suspicious activity.

Gyzer may pause processing and require additional verification in response.

5.7 No initiation or discretion. Gyzer will not originate, authorize, or initiate any transaction, and will not exercise discretion over amounts, timing, recipients, or Provider selection. Gyzer's role is limited to relaying Instructions and associated authentication between you and the relevant Provider.

6. Transaction Details, Confirmations, and Processing Realities

6.1 Transaction information. For each Transaction Request, you (or an Authorized Contact) must provide or confirm the information required to process the request. Depending on the Provider and the nature of the transaction, this may include confirming an amount, asset, direction, and selecting or providing destination or beneficiary details. Some information may be provided during onboarding or account setup and then reused for future transactions. Gyzer's role is limited to relaying and recording this information; Gyzer does not verify, validate, or execute the Transaction Request.

6.2 Accuracy is critical. You are responsible for the accuracy and completeness of all information you or your Authorized Contacts provide or confirm (including any information provided during onboarding or account setup and any subsequent updates). Gyzer is not responsible for any delays, rejections, losses, or irreversible outcomes resulting from inaccurate, incomplete, or late information.

6.3 Additional confirmation triggers. For security, Gyzer may require additional confirmation before progressing certain requests, including (without limitation):

a) changes to beneficiary bank details,

b) changes to wallet addresses,

c) unusually large transactions or unusual patterns, or

d) risk flags (fraud, sanctions, compliance concerns).

Such requests are for communication purposes only and do not constitute verification, approval, or execution of the transaction.

6.4 Delays, reversals, and irreversibility. You acknowledge that transactions may be delayed, reversed, or returned due to bank or payment network rules, intermediary holds, compliance checks, incorrect details, Provider rules, technical issues, or blockchain network conditions. Gyzer does not control or guarantee the timing, success, or reversibility of any Transaction Request. Once executed on-chain or confirmed by a Provider, reversals may be impossible.

7. Enhanced Due Diligence (EDD) and KYC/KYB

7.1 Mandatory EDD for VIP. As part of VIP onboarding, all VIP Users will be subject to Enhanced Due Diligence ("EDD") and identity verification processes, including KYC (for individuals) and or KYB (for entities), conducted through Sumsub and or other verification providers used by Gyzer or the relevant Provider. Gyzer does not perform, approve, or certify KYC or KYB itself.

7.2 Information and documents. You agree to provide accurate and complete information and documents as requested for EDD, KYC, or KYB purposes, which may include (as applicable):

a) identity documents and liveness checks,

b) proof of address,

c) source of funds and or source of wealth information,

d) corporate documents and beneficial ownership information (for entities), and

e) ongoing updates if your information changes.

7.3 Ongoing monitoring and re-verification. EDD, KYC, or KYB may be repeated or supplemented from time to time due to transaction size, velocity, risk indicators, jurisdictional requirements, Provider policies, or regulatory or compliance obligations. Additional information may be required by Providers before certain Transaction Requests can proceed.

7.4 No guarantee. Completion of EDD, KYC, or KYB does not guarantee approval, execution, timing, limits, or pricing. Gyzer and or Providers may refuse, delay, restrict, or suspend processing in line with policy and applicable requirements. Gyzer's role is limited to communication and coordination; all approvals and decisions rest solely with the Provider.

8. Communications, Monitoring, and Recordkeeping

8.1 Primary VIP channel. The VIP WhatsApp Group is the primary communication channel for VIP servicing unless otherwise agreed in writing. Use of this channel does not create any execution, custodial, or transactional authority for Gyzer.

8.2 Record of Instructions. You acknowledge the VIP WhatsApp Group is intended to create a written record of communications for relay and coordination purposes only. Instructions and requests are not validated, approved, or executed by Gyzer.

8.3 Monitoring and retention. To the extent permitted by law, you consent to Gyzer collecting, retaining, and storing logs, exports, screenshots, and related metadata from VIP communications solely for operational, audit, dispute resolution, fraud-prevention, and compliance coordination purposes.

8.4 Electronic delivery. Notices and communications may be delivered electronically (including by email, WhatsApp, or in-app). You are responsible for keeping your contact details current and for monitoring those channels.

9. Data Sharing with Providers and Third Parties

9.1 Sharing required data. You authorize Gyzer to share the necessary information with Providers and their partners solely for the purpose of relaying Transaction Requests, facilitating verification, compliance, and customer support (for example, identity or KYC data where applicable, beneficiary details, transaction metadata). Gyzer does not use such data to initiate, approve, or execute any transactions on your behalf.

9.2 Cross-border processing. You acknowledge that processing and storage of data may involve third parties and may occur in other jurisdictions, subject to applicable law and the Terms. Gyzer is not responsible for data handling, compliance, or regulatory obligations of Providers or other third parties.

10. Refusal, Delay, Suspension, and Termination

10.1 Right to refuse or delay. Gyzer may decline, delay, or request additional verification for any Instruction where required by policy, compliance, fraud-prevention controls, legal requirements, or Provider constraints. Providers may independently reject requests or impose additional conditions.

10.2 Suspension or termination. Gyzer may suspend or terminate VIP Services (or remove Authorized Contacts) if we suspect fraud, unauthorized activity, compliance risk, security compromise, or a violation of the Terms or this VIP Addendum.

11. No Advice; No Fiduciary Duty

VIP Services are limited to operational and administrative support only. Gyzer does not provide investment, legal, or tax advice, and does not assume any fiduciary, discretionary, or agency duties beyond what is expressly stated in the Terms. All decisions regarding transactions, Providers, or asset management remain solely with you.

12. Liability for Authorized Contacts and Authentication Delegation

12.1 Authorized Contacts. You accept responsibility for Instructions submitted by Authorized Contacts and for resulting Transaction Requests processed on that basis, subject to any verification Gyzer elects to apply.

12.2 Authentication delegation. You accept responsibility for delegating Provider authentication handling to Gyzer as described in Section 5, including the risk that Providers may treat credential-based activity as binding. Gyzer does not independently validate, approve, or execute any transactions using these credentials.

12.3 Third parties. Gyzer is not responsible for failures, delays, errors, pricing changes, service availability, or acts or omissions of Providers, banks, payment networks, blockchain networks, or other third parties, except to the extent expressly required by applicable law.

12.4 Indemnity. The indemnity provisions in the Terms apply to VIP Services and this VIP Addendum.

13. Governing Law

This VIP Addendum is governed by the same governing law and jurisdiction provisions as the Terms.

14. Acceptance

By clicking "Activate VIP Access" (or otherwise electronically accepting), you confirm that you have read, understood, and agree to this VIP Addendum and the Terms, and you authorize Gyzer to:

a) rely on Instructions from Authorized Contacts in the VIP WhatsApp Group solely for relaying and coordinating Transaction Requests to Providers, and

b) receive and relay Provider authentication prompts, codes, links, or approvals via the VIP Authentication Channel solely as described in Section 5, without executing, approving, or otherwise acting on them independently.
