This Risk Disclosure Statement ("Statement") describes material risks associated with the use of Gyzer Inc.'s website, application, interfaces, and related services (collectively, the "Platform"). By accessing or using the Platform, you acknowledge that you have read, understand, and voluntarily accept the risks described below.

Nothing in this Statement constitutes investment, financial, legal, tax, or other advice, and you should not rely on the Platform or any content available through it as a basis for making decisions. You alone are responsible for evaluating the risks.

1. Nature of the Platform

Gyzer provides a non-custodial technology interface that connects users with third-party licensed/regulated service providers to access on-ramp and off-ramp services between fiat currencies and digital assets. Gyzer does not hold, control, or transmit your digital assets; nor does it act as a custodian, broker, exchange, or money transmitter. The execution and settlement of any transaction occur entirely through external third parties, blockchain networks, and protocols outside Gyzer's control.

2. Blockchain and Transaction Risks

  • Irreversible Transactions: Once executed, blockchain transactions generally cannot be reversed. If you send digital assets to an incorrect wallet address, funds may be permanently lost.
  • Network and Smart Contract Vulnerabilities: Blockchain and smart contract technologies are complex and may contain defects, vulnerabilities, or bugs. Such weaknesses can result in failed transactions, financial loss, or security breaches.
  • Network Congestion: Delays, higher fees, or transaction failures can occur due to network congestion or technological limitations.

3. Third-Party Service Risks

Your use of the Platform involves reliance on third-party providers (such as payment processors, custodial partners, wallet interfaces, and licensed on-ramp/off-ramp services). Gyzer does not control these entities and is not responsible for their performance, availability, errors, or compliance with applicable laws. You must review and agree to those providers' terms before using their services.

Availability, Eligibility, and Suspension: The Platform and/or third-party services accessible through the Platform may be unavailable or restricted in certain countries, regions, or jurisdictions, or for certain categories of users. Third-party providers (and, where applicable, Gyzer) may delay, suspend, refuse, reverse, or terminate access to services or specific transactions where required or permitted by law or policy, including for reasons related to KYC/AML checks, sanctions screening, fraud prevention, security concerns, operational issues, or risk management. You may be required to provide accurate and complete information and documentation to satisfy identity verification and compliance requirements, and failure to do so may result in delays, rejections, or loss of access to certain features.

Privacy and Data Sharing: Use of the Platform may require you to interact with third-party providers such as identity verification (KYC) providers, payment processors, banking partners, or compliance service providers. To provide services and meet legal and compliance obligations, information you submit (including personal data and transaction-related information) may be collected, processed, and shared between Gyzer and relevant third parties in accordance with applicable laws and their policies. Please review Gyzer's Privacy Policy and, where applicable, the privacy terms of third-party providers before using their services.

Fiat Payment and Settlement Risks: Fiat transfers may be delayed, rejected, reversed, or returned due to bank or payment network rules, intermediary holds, compliance reviews, cut-off times, or incorrect payment details. Card payments may be subject to chargebacks, disputes, or reversals. Exchange rates, fees, and spreads (including third-party fees) may change between transaction initiation and completion, and final settlement amounts may differ from estimates or indicative quotes.

4. Volatility and Asset Value Risks

Digital assets are subject to extreme volatility and price fluctuations. Their value may decrease rapidly and substantially, including to zero. Past performance does not predict future results. You should only transact in digital assets if you understand and can tolerate these risks.

Stablecoin and Peg Risks: Digital assets commonly described as "stablecoins" are not risk-free and may not maintain a stable value. Stablecoins may de-peg from their reference value (e.g., 1:1 with a fiat currency) due to market conditions, liquidity constraints, governance failures, collateral issues, or other factors. Stablecoin issuers and associated service providers may also face insolvency, operational disruptions, or legal/regulatory action that could impair their ability to support issuance, transfers, or redemption. In some cases, redemptions may be delayed, suspended, limited, or subject to fees or minimum thresholds. Certain stablecoins may also be subject to issuer-level controls, including the ability to freeze, blacklist, or otherwise restrict addresses or transfers, which could limit your ability to access or move assets.

No Insurance / No Government Protections: Digital assets are generally not legal tender and are not backed by any government. Digital asset balances and transactions are typically not protected by deposit insurance or investor compensation schemes (such as FDIC/FSCS or any local equivalent), and losses may not be recoverable. Gyzer does not provide any insurance or guarantee against losses arising from market movements, third-party actions or failures, blockchain network events, or security incidents.

5. Security and Loss Risks

  • Unauthorized Access and Theft: Your digital assets, keys, and credentials may be exposed to hacking, phishing, malware, or other security threats. If your private keys or authentication details are lost or compromised, Gyzer cannot recover your assets.
  • Operational Failures: Hardware, software, or internet malfunctions on your side or that of third parties can interrupt access, cause misexecution of transactions, or result in loss of data.

6. Legal, Regulatory, and Compliance Risks

Cryptocurrencies and related services operate in a legal environment that is evolving and uncertain. Laws, regulations, and enforcement practices may vary by jurisdiction and change rapidly, potentially affecting access to services, tax obligations, required disclosures, or the legality of certain activities. You are responsible for complying with all applicable laws and regulations in your jurisdiction.

7. No Guarantee of Results or Functionality

The Platform, related content, tools, or third-party services are provided "as-is" and "as available." Gyzer does not guarantee uninterrupted or error-free operation, and you agree that neither Gyzer nor its affiliates will be liable for any loss of funds, data, or business opportunities arising from use of the Platform.

8. Limitations on Liability

To the fullest extent permitted by law, you acknowledge that Gyzer, its officers, agents, partners, and employees are not liable for any damages — direct, indirect, incidental, special, or consequential — arising from your use of the Platform or third-party services. Your acceptance of this Statement is an express condition of your use of the Platform.

9. Acknowledgment of Risk

By using the Platform, you voluntarily assume all associated risks, including risks not specifically described in this disclosure. You confirm that you have the capacity to understand and assess these risks and agree that Gyzer's provision of the Platform does not create a fiduciary relationship.
