Terms of Service

Welcome to Gyzer ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our digital services, including but not limited to our website, Telegram bot, Telegram Mini App, embedded web widgets, and any related software, content, tools, and services we provide (collectively referred to as the "Platform"). By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree to these Terms, please discontinue your use of the Platform immediately.

These Terms constitute a binding agreement between you and Gyzer. By using the Platform, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms govern your use of the Platform and any features, technologies, or functionalities offered through it.

1. Introduction

We are not a wallet, and we don't hold your crypto assets. We don't issue tokens, and we don't collect or store your private keys, backup phrases, or passwords. Your assets stay fully decentralized, as it should be. We are not a bank, and we don't provide any financial services, advisory, or brokerage services. Bank details and other financial services–where available–are provided by third-party regulated companies. Always check their terms and conditions before applying for their services.

Unless stated otherwise, this Terms of Service ("Agreement" or "Terms") is between Gyzer Inc. incorporated under the laws of the Delaware with its registered address at 16192 Coastal Highway, Lewes, Delaware 19958, County of Sussex ("Gyzer", "Company", "we", "us", or "our") and you.

* Based on your country of residence. Where we process personal data on your behalf, these Terms incorporate our Data Processing Addendum ("DPA") by reference. The DPA sets out the obligations of each party under GDPR, CCPA/CPRA, and other applicable data protection laws.

2. Platform Role Disclaimer

Gyzer provides a non-custodial technology interface. We do not hold, control, or transmit fiat or digital assets on behalf of users. All financial services accessed via the Platform — including crypto-to-fiat conversion, stablecoin transactions, custodial wallet functions, and related services — are operated and fulfilled by third-party regulated entities under their respective licenses. You acknowledge and agree that we do not provide investment, tax, or legal advice and are not a registered broker-dealer, exchange, or money transmitter.

Your access to any third-party service is subject to the third-party's prior approval, terms, and applicable laws. We are not responsible and shall never be liable for any errors, omissions, delays, or failures by third-party providers, including their approval, fee schedules, or service availability. You must review and comply with their terms before using their services.

3. Eligibility

Each time you access or anyhow use the Platform, you represent and warrant that (each and collectively "Eligibility Requirements"):

a) no law, rule, or regulation applicable to you (by virtue of your citizenship, place of residence, or otherwise) prohibits or makes it unlawful for you to do so in accordance with this Agreement. You understand and agree that the Company is not liable for your compliance or failure to comply with such laws, rules, or regulations,

b) you will not be using the Platform for any illegal activity (including money laundering, fraud, blackmail, extortion, ransoming data, financing of terrorism or any other unlawful activities or prohibited market practices),

c) you will not be using the Platform on behalf or for the account of any person other than yourself,

d) if you are an individual,

  • you are at least eighteen years old (or above if so required by your jurisdiction of residence), or
  • you are using the appropriate services under the supervision of your parent or guardian, according to the laws of your jurisdiction,

Prohibited Jurisdictions: You may not use or access the Platform if you are a resident of, or located in, China (mainland), North Korea, Iran, Syria, Belarus, Russia, Japan, or any country subject to comprehensive U.S., U.N., or EU sanctions.

4. Our Services

What we are not:

4.1 Gyzer is not a wallet.

a) We don't have access to your wallets and therefore we can't and won't intervene in any transactions that you wish to make on the Blockchain.

4.2 We don't have access and never store the Private Keys of your wallets.

a) If you are using a third-party wallet such as MetaMask, you can access the Private Key according to the third-party's instruction.

b) If you create a native blockchain wallet, you can access your Private Keys from the settings page through a system known as 'Blind Access'. It means that we don't have access or store to your Private Keys, only you do.

4.3 Gyzer is not a custodial service.

a) We don't hold crypto currencies, NFTs, or any other crypto asset.

4.4 Gyzer is not an exchange.

a) Every exchange provided by an authorised/licensed partner, not in our system.

4.5 Gyzer is not a token and doesn't issue tokens.

a) We don't and won't have our proprietary token, and we don't plan to issue one in the future.

What we are:

4.6 Gyzer is a technological platform that acts as a merchant of authorized/licensed partners that enable users to access on-ramp and off-ramp services between fiat currencies and digital assets. We provide a seamless interface to connect users with regulated third-party providers who execute the actual exchange transactions. You can find a list and description of the available services on our website and application. Additional features may be added from time to time.

4.7 We do not ourselves provide currency exchange, custody, or payment services. When you use our platform to buy or sell crypto with fiat, the underlying transaction is executed by third-party licensed institutions. You are subject to their own terms and conditions, and you must review them carefully before using their services.

Acknowledgements

4.8 You acknowledge and agree that:

a) the success, timing, and completion of any fiat-to-crypto or crypto-to-fiat transaction depends on third-party licensed providers, over whom we have no control,

b) blockchain networks and traditional payment systems are operated by independent third parties which we do not own, control, or operate, and

c) any transfer of funds or digital assets occurs through such third-party networks and providers, and not on infrastructure owned or controlled by us.

4.9 You represent and warrant that the information you provide on the platform is accurate and complete. We are not responsible for errors or omissions you make in connection with your transactions (including providing incorrect wallet addresses or bank account details). We encourage you to carefully check all information before confirming any transaction.

4.10 You acknowledge and understand that the platform is non-custodial, which means:

a) your funds remain under your control until you authorize a transaction with a third-party provider, and

b) we do not hold, manage, or have access to your funds, private keys, or bank accounts.

4.11 Exchange rates and prices between fiat and digital assets are determined by the third-party licensed providers at their sole discretion, and may fluctuate due to market conditions. The prices displayed on our platform are indicative and sourced from such providers, and we cannot guarantee their accuracy or availability at any given time.

5. Risk of Blockchain and Smart Contract

5.1 You acknowledge that all digital assets transactions happen outside Gyzer on a blockchain via one or more smart contracts, and that buying crypto assets on a blockchain is highly risky.

5.2 You acknowledge and accept all consequences of sending any crypto assets via any blockchain.

5.3 Crypto asset transactions are irreversible, and therefore once you send crypto assets to an address, you accept the risk that you may lose access to your crypto assets indefinitely, so that if for example an address is entered incorrectly, the owner of the address may never be identified, and your crypto assets will never be returned.

5.4 You understand and voluntarily assume the inherent risks listed hereinafter, and agree that neither the Company nor any of its shareholders, members, directors, officers, employees, agents or representatives will be liable for any losses, including financial and business losses, or consequences resulting from the following risks:

a) Risk of Software Weaknesses. The Platform, and other involved software and technology and technical concepts and theories are still in an early development stage and unproven, that there is no warranty that the process for receiving, use and ownership of crypto assets will be uninterrupted or error-free and that there is an inherent risk that the Platform and related technologies and theories could contain weaknesses, vulnerabilities or bugs causing, inter alia, a financial loss or the complete loss of crypto assets. You agree not to hold the Company accountable for any related losses.

b) Crypto Asset Risks. Any crypto asset may change or cease to operate as expected, which may result in the crypto asset being canceled, lost, or double spent, or otherwise losing all or most of its value.

c) Regulatory Risk. Blockchain technology allows new forms of interaction. There is a possibility that certain jurisdictions will apply existing regulations or introduce new regulations addressing blockchain technology–based applications, which may be contrary to the current setup of the Platform and which may, inter alia, result in substantial modifications of the Platform and/or the business model of the Company, including its termination.

d) Risk of Abandonment/Lack of Success. You understand and accept that Gyzer and any of the Services may be abandoned for a number of reasons, including, but not limited to, lack of interest from the public, lack of funding, or lack of commercial success or prospects. Furthermore, the Company has the right to modify, suspend, or alter any part of the Services at any time, at its sole discretion.

e) Risk of Theft. You understand and accept that your computer system, the Platform, any other involved software in the provision of the Services, and other technology components and/or platforms supplied by third parties in your use of the Services may be exposed to attacks by hackers or other individuals that could result in theft or loss of crypto assets.

f) Risk of Blockchain Mining Attacks. Some blockchains are susceptible to mining attacks, including but not limited to double-spend attacks, majority mining power attacks, 'selfish-mining' attacks, and race condition attacks. Any successful attack presents a risk to the expected proper execution and sequencing of crypto asset transactions.

g) Risk of Losing Wallet Access Information (Loss of Private Key). You understand and accept that the Company has no access to your Wallet at any point in time. If you lose the information and codes issued to you by your Wallet when establishing the Wallet, the Company has no way to recover your Wallet and or any crypto assets that are associated with it. You understand and accept that unauthorized third parties may access your Account and effect transactions without your knowledge or authorization. You understand and accept all risks associated with unauthorized use of your Account.

6. Third Party Services

6.1 If you apply for a third-party service such as a bank account number – where available – you will receive such service from such a Third Party Service Provider.

6.2 It's being understood that:

a) your receipt of such services is subject to:

  • prior approval by the Third Party Service Provider,
  • their terms and conditions, and
  • rules, policies, and applicable laws.

b) Gyzer is not responsible and shall never be liable for such Third Party Service Provider Services.

c) You should always check the Third-Party terms and conditions before applying for their services.

7. Account Access & Wallet Connection

Our Platform uses non-custodial technology. You connect your own crypto wallet to interact with our services. You are solely responsible for safeguarding your private keys and wallet credentials. We cannot assist in recovering lost wallets, resetting private keys, or accessing wallet-held funds under any circumstances. You are fully responsible for all activity conducted through your connected wallet.

We may restrict, suspend, or terminate your access to the Platform if we suspect a violation of KYC requirements, Prohibited Uses, or any applicable law. Loss of access does not entitle you to a refund, and you remain solely responsible for your wallet keys and assets.

8. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not:

  • Violate any applicable local, state, national, or international law or regulation
  • Use the Platform in a manner that could interfere with, disrupt, or negatively affect other users
  • Upload, transmit, or otherwise distribute any viruses, worms, malware, or malicious software
  • Engage in any activities that facilitate money laundering, terrorist financing, or sanctions evasion
  • Circumvent or attempt to bypass geoblocking or regional restrictions using VPNs, proxies, or similar tools
  • Use bots, scrapers, or other automated tools to access the Platform's data or services

9. Prohibited Activity and Prohibited Jurisdictions

Users agree not to engage in any activities that may harm the integrity, security, or functionality of our Platform or violate applicable laws, including:

  • Cyberattacks: Deploying malware or launching denial-of-service attacks
  • Data Mining or Scraping: Unauthorized extraction of data from the Platform
  • Fraudulent Content: Misrepresenting information to defraud others
  • Market Manipulation: Engaging in pump-and-dump schemes or wash trading
  • Sale of Stolen Assets: Transacting in assets obtained by illegal means
  • IP Infringement: Unauthorized use or distribution of copyrighted/trademarked materials
  • Other Unlawful Conduct: Any conduct in violation of applicable law

10. E-Sign Consent

By using the Platform, you consent to receiving disclosures, notices, agreements, and other communications electronically. These electronic communications are legally binding and satisfy any legal requirement that such communications be in writing. You may withdraw consent by ceasing use of the Platform.

11. Travel Rule Compliance

Compliance with the Financial Action Task Force (FATF) Travel Rule is facilitated through our regulated partners who are responsible for data handling and message transmission per jurisdictional requirements.

12. KYC & AML Compliance

To ensure that our partners can meet their regulatory obligations, all users are required to complete Know Your Customer (KYC) checks. Our compliance framework includes:

  • Sanctions Screening: All users are screened against OFAC, UN, EU, UK, and other international sanctions lists using Sumsub, our third-party KYC provider.
  • Identity Verification: Users may be required to submit government-issued IDs and other personal documents. These are collected and stored by Sumsub. We do not store sensitive identity documents ourselves.
  • Ongoing AML Monitoring: All wallet screening, blockchain analysis, and suspicious transaction monitoring are conducted by our regulated crypto partners, not by us.
  • Data Sharing for Compliance: When you use services provided by Unblock for fiat on-ramping or off-ramping via their API, your KYC token obtained from Sumsub will be securely shared with Unblock to facilitate regulatory compliance. By engaging with Unblock's services, you agree to the Unblock Terms of Use, Unblock Privacy Policy, and EPMAP Terms and Conditions.

Use of Sumsub's KYC services is also governed by their terms and privacy policy, which can be reviewed at https://sumsub.com/privacy-notice and https://sumsub.com/terms-of-use.

Please note: Identity verification conducted via Sumsub may involve automated processing and decision-making. In certain cases, this may produce a decision with legal or similarly significant effects (e.g., acceptance or rejection of your verification). Under GDPR Article 22, you have the right not to be subject solely to automated decisions. You may request human intervention, express your viewpoint, and contest a decision by contacting us at support@gyzernetwork.com

13. Fees and Pricing

These third-party fee schedules are independent of our own. We are not responsible for any errors, delays, or issues arising from the processing of fiat transactions by these providers. Any disputes or issues regarding fiat on-ramping or off-ramping transactions shall be governed by the respective provider's Terms of Use.

Virtual Currency Pricing:

  • Prices for virtual currencies are highly volatile and may change rapidly.
  • Pricing: Currency quotes are based on market conditions at the time of transaction.
  • Lock-In Clause: Once you initiate a transaction, the final rate ("Final Price") is locked and confirmed.
  • Rate Disclaimer for Bank Transfers: In cases where we provide banking details for manual fiat transfers, the applicable exchange rate will be the rate at the time we receive and confirm your transaction. We do not guarantee exchange rate availability if you delay the transfer. Rates are subject to change until funds are received and processed.
  • Fee Disclosure: Our fee structure is transparent and subject to change with 14 days' notice.

14. Non-Solicitation and No Investment Advice

All transactions initiated by you through the Platform are unsolicited. You acknowledge and agree that:

  • You have not received investment, tax, or legal advice from us.
  • Information on the Platform is for informational purposes only and does not constitute a recommendation.

No Fiduciary Duties: We do not owe you any fiduciary duties beyond those expressly outlined in these Terms.

Tax Obligations: You are solely responsible for determining, reporting, and paying any applicable taxes related to your use of the Platform and any associated transactions.

15. Indemnity

You agree to indemnify, defend, and hold harmless Gyzer, its affiliates, officers, directors, employees, and agents from and against all liabilities, claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or breach of any law or rights of a third party.

16. Third-Party Links and Content

Our Platform may include links to third-party websites, applications, or resources. We do not control or endorse and are not responsible for the content, products, privacy policies, or practices of third-party services.

17. Severability and Entire Agreement

If any provision of these Terms is found unenforceable or invalid, the remainder of the Terms shall remain in full force and effect. These Terms constitute the entire agreement between you and Gyzer regarding the use of the Platform and supersede all prior or contemporaneous communications, whether oral or written.

18. Force Majeure

Gyzer shall not be liable for any delay or failure in performance due to events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, governmental actions, internet or power outages, cyberattacks, pandemics, or labor disruptions. We will make reasonable efforts to resume service as soon as possible following such an event.

19. Jurisdiction-Specific Disclosures

Some jurisdictions require special disclosures:

  • EU Users: Your use may be subject to upcoming MiCA requirements. Stablecoin services are provided only by regulated third parties.
  • UK Users: No part of this Platform constitutes a financial promotion under FCA rules.
  • US Users: This Platform is not a money services business. We rely on licensed partners.
  • Singapore Users: No account issuance, custody, or DPT services are provided directly by Gyzer.
  • Canada Users: You are responsible for reporting crypto activity to Canadian tax authorities.
  • UAE Users: We are not licensed by VARA. Regulated partners may service UAE users under their local registrations.

Please consult local regulations and use the Platform only in accordance with applicable law.

20. User Rights and Data Protection

Depending on your jurisdiction, you may have specific rights regarding your personal data:

  • Access: Right to know what personal data we hold about you.
  • Rectification: Right to request correction of inaccurate or incomplete data.
  • Erasure ("Right to be Forgotten"): Right to request deletion of your personal data.
  • Restriction: Right to restrict certain processing activities.
  • Data Portability: Right to receive your data in a structured, commonly used, and machine-readable format.
  • Objection: Right to object to processing of your data under certain conditions.
  • Withdrawal of Consent: Where processing is based on consent, you may withdraw it at any time.

California/US Users (CCPA/CPRA): You also have the right to:

  • Request disclosure of categories of personal data collected and shared.
  • Request deletion or correction of your data (subject to legal exceptions).
  • Opt out of the sale or sharing of personal data (we do not sell or share for advertising purposes).
  • Exercise your rights free from discrimination or retaliation.

21. Data Processing Addendum (DPA)

To the extent that we act as a processor of personal data on your behalf under GDPR, CCPA/CPRA, or similar data protection laws:

  • Our DPA governs the relationship between us as "Processor" and a "Controller."
  • Third-party providers such as Sumsub and Unblock act as independent controllers with respect to personal data they collect directly.
  • By using the Platform, you agree that the DPA forms part of these Terms. A copy of the DPA can be requested by contacting support@gyzernetwork.com

22. Automated Decision-Making Notice

As part of regulatory compliance, automated decision-making may be used during:

  • Sanctions and watchlist screening
  • KYC/AML verification via Sumsub

You have the right under GDPR Article 22 and equivalent laws not to be subject solely to automated decisions producing legal or significant effects. You may request an explanation of the logic involved, obtain human review, and contest any automated decision. To exercise these rights, contact at support@gyzernetwork.com

23. Governing Law and Jurisdiction

23.1 All matters relating to the Platform and these Terms, and any dispute or claim arising out of or related to them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the State of Delaware, United States. Any legal suit, action, or proceeding arising out of or related to these Terms or the Platform shall be instituted exclusively in the courts located in New Castle County, Delaware, United States, and each party irrevocably submits to the exclusive jurisdiction of those courts.

Changes to the Terms

23.2 We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Platform thereafter. However, any changes to the dispute resolution provisions set out in the 'Governing Law and Jurisdiction' section above, will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Platform.

23.3 Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.
